Terms and Conditions

The cost of raw materials, manufacturing, and wholesale distribution can increase greatly when there is a shortage of items in high demand. In result, there are many high demand products for a premium price from our suppliers that inevitably drives up prices to the end-buyer. In general, our prices are below other online marketplaces (i.e. Amazon). We are committed to keep our prices as fair and reasonable as the market dictates.  But most importantly, we are committed to delivering these critical supplies to the organizations who are combating COVID-19.

A special note during the COVID-19 epidemic: These are trying times and the logistics are a major obstacle right now so please have patience and be courteous to your courier professional. Please know a carrier's performance may be out of our (and even their own) control. Also other logistics may be out of their control during this time.

Prices

All prices are in USD. Prices are current at the time of publication, but are subject to change without notice. Your request for quotation for a bulk quantity on any item will be furnished promptly.  

Payment Terms

All payments must be received and must clear before any items are shipped. No C.O.D. orders are possible.  All orders must be placed directly with a Critical Suppliers Rep.  Net 30 billing is not available at this time.

Forms of Payment:

Domestic Wire, Western Union, Money Order, or Check. All funds must be in US Dollar Currency.

Shipping Terms

Items are shipped prepaid and added to the invoice. All orders are processed and shipped as quickly as possible. Usually orders are shipped within two business days of receipt of payment. Many times orders are shipped the very next business day. However, due to order volume it is possible that orders may take up to 5 business days to ship. If circumstances arise in which an order will not be shipped with 5 days of receipt of payment, we will contact purchaser to explain our plans to remedy.

During this critical time, most of our purchasers require emergency service. We DO NOT guarantee that any order will be shipped from our warehouse or supplier any sooner than 5 business days from the time payment is received. Regarding carriers, we make no guarantees as to the time a carrier may take once an item is shipped. We are not responsible for any delays due to a carrier's lack of performance.

Any address corrections or address change charges from shippers will be billed to customer, such as missing numbers, incorrect zip codes, and so forth. These changes are billed by carriers separately, so please be sure to double check your address information before submitting order.   In placing your order, verify that your shipping address is complete and correct. Should the address information provided be incorrect, you may be responsible for additional charges. PO Boxes are not allowed in the address information, we must ship to a physical address. 

All packages unless otherwise requested in writing, will be shipped with ‘Signature Required’ to prevent fraud, theft, and damage to packages.

Undeliverable Packages

All packages that are termed undeliverable due to insufficient, incomplete, non-deliverable addresses, or not having someone 18 years or older at the shipping address to provide a signature confirmation are subject to additional charges.  In addition to the service charge, the customer will be responsible for any further shipping charges should the customer choose to have the package re-shipped.

Return Policy

Quality control and reliability is our top priority. As such, we would like you to be completely satisfied with your order. If you need to return an item, please contact our customer service department within 24 hours of receipt of your purchase. We are only accepting returns that are defective or incorrect. All items returned must be returned new, unused, in its original packaging, with any accessories provided by the manufacturer, and in resalable condition. All returns will be inspected prior to issuing credit.

Before returning any item, please obtain a Return Merchandise Authorization (RMA) number. NO returns, of any type, will be accepted without an RMA number. Items returned without an RMA number may only be entitled to receive a store credit or no refund at all.

If you paid with a check, Western Union transfer, or money order; please allow 2 – 4 weeks to receive your refund check from Critical Suppliers, LLC from the time we receive the returned products. If you wish for us to waive the 15% restocking fee, you may have your refund immediately in the form of a store credit. Restocking fees may also be waived if purchasing another item of equal or greater value. Restocking fees will be refunded once the new order has been processed.

If you are returning an item that is defective or shipped in error, we apologize for your inconvenience. We will refund the costs or the products, plus original shipping cost.

We will not be accepting returns for any other reason unless deemed defective or shipped in error.

Drop Ship Orders

Some items might be available for drop ship. Drop ship orders ship within 7 to 10 business days after order has been placed. All dropships orders ship only to US locations.  Contact your rep for further information.

Product Acceptance

Extreme care is used when packing your orders. All items are checked, rechecked and packed by experienced personnel. Should discrepancies occur, please contact us immediately so we may resolve the issue. All claims of shortage, incorrect items or damage MUST BE MADE WITHIN TWO (2) DAYS OF RECEIPT OF OUR ORDER. Major damage should be reported immediately to and inspected by the carrier. For damage cause by delivery: All packing materials should be kept until inspected by a courier representative. If the customer does not notify Critical Suppliers, LLC within two (2) after the receipt of the order, the order shall be deemed to conform to the terms provided herein and shall be irrevocably accepted by the customer.

Order Cancellations

If you need to cancel your order you must notify Critical Suppliers, LLC before 3:45pm EST on the day you place your order to receive a full credit.  Orders cancelled after 3:45pm EST of the order date may take 2-4 weeks to be refunded depending on the circumstances. If the order was not yet shipped, it would be much sooner. If the order was not yet processed, it would be even earlier. You will receive credit when the package/goods are brought back to our facilities or supplier, minus a 15%restocking fee and any applicable shipping charges.

Changes to Existing Orders

Due to the manner in which our orders are processed for shipment, we cannot add to, or modify an existing order once it has been submitted. We can only cancel an order IF it has not yet been processed and/or shipped. If you need to add to or change an existing order, you may call or e-mail our customer service department and cancel your existing order, IF it has not yet shipped, and then you must re-submit a new order with the changes or additions you wish to make. . If your order has already been processed and/or shipped then you may have to place an additional order.

Critical Suppliers, LLC , as a distributor for the products described in this catalog, warrants that representations for the products described, accurately reflect the manufacturer's representations to Critical Suppliers, LLC . Critical Suppliers, LLC therefore, expressly disclaims any and all warranties, whether implied, expressed or statutory, including the warranty of FITNESS FOR USE and MERCHANTABILITY.  Critical Suppliers, LLC will, in no event, be liable for any consequential or incidental damages caused by the use of any products described in this catalog.

The customer is certifying that all products and materials being purchased are being obtained for lawful use only. All of the products must be handled only by qualified and trained individuals. When purchasing these products, the customer acknowledges that there may be hazards associated with their use. The Customer represents and warrants to Critical Suppliers, LLC that from customer's own independent review and study, the Customer is fully aware and knowledgeable about (I) the health and safety hazards associated with the handling of the products purchased; (II) industrial hygiene controls necessary to protect its workers from such health and safety hazards; (III) the need to adequately warn of health and safety hazards associated with products; and (IV) government regulations regarding the use of and exposure to such products. Critical Suppliers, LLC , at its sole discretion, reserves the right to limit the sale of any product, or to refuse the sale of any product to any customer deemed unqualified to make such a purchase. What may be legal in one jurisdiction may not be legal in another. It is the Customer's responsibility to know and to abide by all of the laws and regulations of the jurisdiction in which you live or conduct business that may be related to the use of any product the Customer may purchase.

IN CONSIDERATION OF THE SALE OF PRODUCT TO PURCHASER, THE PURCHASER AGREES TO INDEMNIFY AND HOLD Critical Suppliers, LLC, OR ANY OF IT'S OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES HARMLESS FROM ANY AND ALL CLAIMS, EXPENSES (INCLUDING LEGAL FEES AND ACCOUNTING FEES), LOSSES AND LIABILITY OF ANY NATURE WHATSOEVER ARISING OUT OF PURCHASER'S HANDLING AND/OR USE OF PRODUCT, WHETHER USED ALONE OR IN COMBINATION WITH ANY OTHER PRODUCT.

You acknowledge that no joint venture, partnership, employment, or agency relationship exists between Critical Suppliers, LLC and you, as a result of your use of www.criticalsuppliers.org.  You agree not to hold yourself out as representative, agent or employee of Critical Suppliers, LLC, and that Critical Suppliers, LLC will not be liable by reason of any representation, act or omission by you.
